Terms of Service

These Terms of Service (“Terms”) govern your engagement with Katherine Ariza Consulting (“Consultant,” “we,” or “us”). By scheduling a diagnostic session, submitting a contact form, or entering into a consulting agreement, you (“Client”) agree to be bound by these Terms.
1. Scope of Services
Our services include strategic business diagnostics, brand architecture, growth execution planning, and digital presence optimization. All deliverables are advisory in nature and designed to provide structural clarity and actionable roadmaps. We do not guarantee specific financial results, as outcomes depend on market conditions, Client execution, and external factors beyond our control.
2. Fees & Payment Terms
Diagnostic Sessions
Initial strategic diagnostic sessions are priced as quoted at the time of booking. Payment is required in full to confirm your scheduled time. Sessions are non-transferable and non-refundable unless rescheduled at least 48 hours in advance.
Retainer & Project Engagements
Custom consulting engagements require a signed proposal and a 50% upfront deposit to initiate work. The remaining 50% is due upon delivery of final assets or project completion, unless otherwise specified in the signed agreement. Late payments may incur a 1.5% monthly interest charge.
3. Client Responsibilities
To ensure successful outcomes, the Client agrees to:
- Provide accurate, timely information and access to necessary business data
- Designate a primary point of contact for all project communications
- Attend scheduled sessions prepared with relevant materials and decision-makers
- Execute recommended strategies within agreed timelines or notify us of delays
4. Confidentiality
All business information, financial data, and strategic plans shared by the Client will be treated as strictly confidential. We will not disclose, reproduce, or use this information for any purpose other than fulfilling our consulting obligations. Mutual confidentiality applies to our proprietary frameworks, methodologies, and internal processes.
5. Intellectual Property
The KARMA™ Method, diagnostic templates, frameworks, and proprietary materials developed by Katherine Ariza Consulting remain our exclusive intellectual property. Clients receive a non-exclusive, non-transferable license to use delivered strategies and documents for internal business purposes only. Redistribution, resale, or public sharing of our proprietary materials is strictly prohibited.
6. Limitation of Liability
Katherine Ariza Consulting provides strategic advisory services and is not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities. Our total liability shall not exceed the total fees paid by the Client for the specific engagement from which the claim arose.
7. Termination
Either party may terminate an active engagement with 14 days written notice. Upon termination, the Client will be invoiced for all work completed up to the termination date. Deposits for unstarted phases will be refunded proportionally, minus any administrative or rescheduling fees outlined in the proposal.
8. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of California, United States. Any disputes arising from these Terms or our services will first attempt resolution through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in California.
9. Modifications
We reserve the right to update these Terms at any time. Continued use of our services or website after updates constitutes acceptance of the revised Terms. Clients will be notified of material changes via email or website notice.
